Lynn has been with SKO since 1994. She is member of the Business Services practice with a focus on Intellectual Property & Technology, Privacy & Information Security, Mergers & Acquisitions, Securities & Corporate Governance, and Equine Transactions. Lynn has significant experience working with clients in the technology, alcohol, food manufacturing, trucking and motor coach, and equine industries. She is skilled in reviewing and negotiating technology agreements, supply agreements, consulting agreements and franchise agreements, as well as assisting clients with state and federal compliance matters. Lynn also has authored numerous articles on privacy and data protection issues.

Legal Practice

Contracts and Agreements:  Having reviewed and prepared hundreds of agreements of all sizes, I have special expertise in reviewing contracts and agreements related to information technology as well as supply agreements, acquisition agreements and entity governance agreements, particularly those related to ownership transfer restrictions. I pay close attention to the details, as well as the interaction with the client’s business and risks for the client for that situation. My goal is to only negotiate or change provisions that matter to the client for that specific situation, thereby saving time and fees for the client, and hopefully fostering a better relationship with the other party to the agreement for situations in which the client expects to have an ongoing relationship with the other side.

Privacy and Data Security: I have provided advice relating to privacy and data security for more than 20 years. I understand the issues that arise for businesses, particularly the importance of obtaining protections in agreements with vendors that will have access to personal, medical or confidential information. I also have experience in preparing Privacy Policies and Terms and Conditions for websites, as well as helping clients control information collection and foster compliance.

Compliance:  In addition to dealing with compliance in the data and privacy area, I have been involved in advising on compliance for numerous private placements and have knowledge about both federal and state compliance requirements. I have prepared numerous private placement disclosure documents and find it interesting to learn about various businesses and the risks involved in those businesses.

Acquisitions:  I have represented both buyers and sellers in numerous acquisitions, ranging from smaller to multi-million dollar deals.

  • Negotiated, revised and completed multi-million dollar information technology agreement, 2017
  • Prepared documents relating to $5 million private placement, 2017
  • Represented seller in an asset sale on a short turnaround, with important carve outs from assets being transferred, 2017
  • Negotiated, revised and completed mission critical information technology agreement, 2016
  • Helped negotiate and complete stock restriction agreement among owners who were at odds, 2015
