Lynn H. Wangerin

Member, Louisville

A Member of Stoll Keenon Ogden’s Louisville office since 1994, Lynn has extensive experience serving clients through the Business Services practice group, with particular emphasis on Privacy & Information Security and Information Technology.

As the Internet has evolved into a web of things, and data breaches have moved from hot topics to sensitive pain points for businesses, Lynn has become a valuable resource for clients looking to manage risk related to information collection and vendor management. She has published numerous articles on data protection and privacy issues.

Outside of the realm of information technology, Lynn supports clients in reviewing contracts and agreements relating to Mergers & Acquisitions, Securities & Corporate Governance, and Equine Transactions. Over the course of her career, she has served clients in the technology, alcohol, food manufacturing, trucking and motor coach, and equine industries.

Business Services: Lynn reviews contracts and agreements pertaining to information technology, supply chain, acquisitions and entity governance, particularly in the area of ownership transfer restrictions. She pays close attention to details and considers the effects that provisions may have on the client’s business, with the goal of saving clients time and fees. In situations where the client expects to have an ongoing relationship with involved parties, she works to establish a foundation for moving forward with minimal conflict.

Privacy & Information Security: With a background in an information technology practice area that spans more than 25 years, Lynn understands the multitude of issues that arise for businesses and complexity of laws that govern data collection. Among the many important services she provides for clients is obtaining protections in agreements with vendors with access to personal or confidential information.

Internet: Lynn counsels clients in protecting their interests online and complying with regulations by preparing web-related documents such as privacy policies and terms and conditions.

Securities & Corporate Governance: Lynn advises issuers and investors on compliance considerations for private placements and has knowledge of federal and state requirements.

Mergers & Acquisitions: Lynn has represented both buyers and sellers in various acquisitions, ranging from small purchases to multimillion-dollar deals. Her successful track record includes negotiating and finalizing mission-critical technology agreements.

Equine Transactional: Building on SKO’s long history of providing legal counsel to the industry, Lynn provides advice regarding information technology to race tracks, industry organizations and horse owners in Kentucky and throughout the U.S. She also advises on contracts, mainly related to the purchase and sale of horses.

Emerging Business & Venture Capital: Lynn serves as counsel to startups and other new businesses on matters ranging from evaluation of entity structure to preparation of private placement offerings.

Public Benefit Corporation Services: Leveraging her skills in intellectual property and corporate governance, Lynn works with new and existing companies to develop plans to keep their businesses running smoothly, no matter what challenges may arise through the course of their operations.
