Gary L. Stage

Gary returned to Stoll Keenon Ogden, as Of Counsel in the Firm’s Indianapolis office, in early 2022. A former Partner of the Firm when it was known as Stoll Keenon & Park, he brings decades of experience as a private practice attorney, in-house counsel and executive.

Utilizing his extensive expertise in a wide range of business and corporate issues and transactions, Gary assists individuals and organizations in accomplishing their business objectives.  His areas of expertise include entity selection and formation; contract negotiation and drafting; corporate finance; corporate governance; corporate, partnership and limited liability company matters; employment law; mergers and acquisitions; private equity and real estate transactions; securities law; and succession planning.

Gary’s has represented individuals, small businesses, large companies, and non-profit organizations engaged in a diverse array of activities and industries such as professional services, Federal government contracting, gaming, healthcare, equine, banking, dealerships of various products, private equity, real estate investment trusts, and others.

Business Services: Gary provides a wide range of business services, including business entity selection, formation, organization, and structuring; contract negotiation, review and preparation; corporate governance; shareholder agreements and disputes; and employment law matters.  Gary also provides on-demand outside general counsel services.

Corporate Finance: Gary assists individuals and businesses with negotiating, documenting and restructuring loan and other corporate financing transactions.

Mergers and Acquisitions: Gary represents buyers and sellers of businesses, whether in asset sale, stock purchase or merger transactions, often working as part of a skilled team of attorneys to address the complex contractual, regulatory, tax, employment, environmental, real estate, and various other issues that can arise in these transactions.
