Natalie Nassar is an Associate in the Louisville office, where she advises businesses on corporate, transactional, and governance matters. Her practice is concentrated on business services and mergers and acquisitions, including entity formation, corporate governance, company reorganizations, and the purchase and sale of businesses across a range of industries. She regularly assists clients with transaction structuring, due diligence, and the negotiation of transaction documentation. She also guides clients through the drafting and review of commercial agreements, such as sales and service agreements, vendor and supplier contracts, nondisclosure agreements (NDAs), confidentiality agreements, and other pre‑transaction and operational agreements essential to business operations and transactions.
Natalie has experience supporting a wide range of complex transactions, including asset purchases, stock acquisitions, mergers, and spin‑offs. Her work frequently involves coordinating regulatory, tax, and contractual considerations to facilitate efficient execution and post‑closing integration. She has represented clients operating in industries including healthcare, manufacturing and distribution, towing and transportation, and engineering and construction.
In addition to her transactional practice, Natalie advises businesses on ongoing corporate compliance and governance matters, including organizational structuring, succession planning, and Employee Stock Ownership Plans (ESOPs). She regularly works with closely held and family-owned businesses to help owners plan and implement ownership transitions, align governance strategies, and address related tax and operational considerations to support long-term continuity and growth.
