You may have received a “2021 Corporate Records Solicitation Form” from the “Kentucky Council For Corporations.” This official-looking document invites you to provide, as to a corporation, a listing of its shareholders, officers and directors, along with a filing fee of $150. This information is solicited as a way for the corporation to satisfy certain records maintenance obligations under the Kentucky Business Corporations Act.
Keep your $150 and toss the form. Your corporation should already have a list of the names and addresses of its directors, officers and shareholders. If not, please prepare one. Your list is not more official because you have sent it to the “Kentucky Council For Corporations” (whose address is in Lansing, Michigan).
By the way, the “Kentucky Council For Corporations” is itself out of compliance with Kentucky law governing corporations, so it is probably not the best source for compliance advice.
