Shawn Spalding is a Member at Stoll Keenon Ogden, joining the firm in 2019 and working out of the Louisville, Ky., office. Shawn is highly skilled in zoning matters, including changes to district development plans, variances, conditional use permits, waivers, and other administrative approvals. Additionally, Shawn has appeared on behalf of clients before zoning authorities in multiple counties in Kentucky on a variety of real estate classes, including retail, educational, and residential.

Because of his extensive real estate development law experience, Shawn has become a valued resource for commercial lenders and clients who need help with complex real estate transactions. He has negotiated and structured transactions throughout the United States with interests of more than $250 million.

Prior to joining Stoll Keenon Ogden, Shawn worked in private practice at a large regional law firm, where he assisted institutional lending clients in commercial mortgage-backed securities (CMBS) loan originations and warehouse line financing. He also served as in-house counsel for a regional real estate firm, using his skills to provide efficient legal representation that drove value for his clients.

Zoning: Shawn works to negotiate and obtain special and conditional use zoning approvals for clients ahead of major commercial construction projects, including commercial, industrial, and residential developments. Shawn and SKO’s team of attorneys also work directly with development consultants, engineers, and surveyors and appear on behalf of clients for zoning-related hearings.

Real Estate: Shawn and the Real Estate practice group at SKO handle a full spectrum of real estate transactions, with a particular focus on commercial real estate acquisitions, dispositions, and leasing. Shawn works to help clients navigate multifaceted real estate title and zoning matters, providing legal assistance to a variety of clients in nearly all aspects of real estate planning.

Corporate Finance & Lending: Shawn and our team of attorneys counsel lenders in connection with transactions involving sophisticated real estate projects and asset-based credit facilities. On behalf of lenders and borrowers, Shawn works to close loans on all major property types, including retail, hospitality, multifamily, mixed-use, and industrial facilities.

Business Services: Shawn and our attorneys in the Business Services practice group are well-versed in an array of transactional matters, including preparing and implementing merger and acquisition agreements, licenses, leases, and other business contracts. From local small businesses to international corporations, the firm represents clients involved in a broad range of business activities and has the personnel and experience to help achieve the clients’ legal objectives.

Work Highlights

  • Zoning – Athletics Facility Development Approval

    SKO represented an educational institution throughout the zoning process in connection with the construction and development of a new athletic facility, including variance and conditional use permit approvals.

  • Zoning – Conditional Use Permit Approval

    SKO represented a client in obtaining approval for a drive-through service area adjacent to at a major gateway into downtown Lexington, Kentucky.

  • Real Estate – Industrial Leasing

    SKO represented a landlord-client in negotiating a 10-year lease of an industrial, office, and warehouse facility within Louisville, Kentucky.

  • Real Estate – 1031 Like-Kind Exchange

    Successfully represented a client on the sale of real property and subsequent acquisition of replacement investment property under Section 1031 of the Internal Revenue Code.

  • Real Estate – Lease Negotiation

    SKO represented a tenant-client in negotiating a special-purpose venue lease within a newly constructed mixed-use development in Charlotte, North Carolina.

  • Construction Industry

    Represented a Kentucky-based construction firm in the acquisition of an Indiana-based construction company with operations across multiple states. The transaction was structured as an asset purchase.

  • Real Estate Finance – Historic Preservation

    Represented a developer client in the documentation and closing of a property through the use of historic preservation tax credits. The financing supported a project in which, after a nearly 20-year vacancy, a former factory was rehabilitated and converted into an assisted-living facility.

  • Structured Finance

    Managed the documentation and closing of several ongoing revolving credit lines for an institutional lending client. More than 150 loan transactions were closed as part of the credit facilities.

  • Real Estate Finance – PACE Loan

    Represented a lending client in the documentation, negotiation, and closing of a commercial real estate loan, which included a special financing assessment through the local government-sponsored Property-Assessed Clean Energy (PACE) program.

  • Real Estate Finance – Mortgage-Backed Securities

    Represented an international lender in simultaneously closing numerous commercial mortgage-backed securities loans covering 17 properties in multiple states and involving the advance of more than $250 million in loan proceeds.
